NinjaOne, LLC (“NinjaOne”) is excited to offer a cash back promotion to certain new customers (“Promotion”), subject to these terms and conditions. If you participate in the Promotion, you agree to be bound by these Promotion terms and conditions, as well as those of the applicable NinjaOne Order Form and the NinjaOne End User License Agreement (“EULA”). NinjaOne reserves the right, in its sole discretion, to modify the Promotion and these terms and conditions without notice at any time. If you do not agree with the modifications, your sole and exclusive remedy is to not participate in the Promotion.
- Eligibility. In order to be eligible to participate in the Promotion:a. You must be a new customer of NinjaOne;
b. You must enter into a subscription for NinjaOne software for at least 50 devices (“subscription”);
c. You must sign the Order Form for the subscription on or before EOD on March 31, 2023; and
d. You must make the following payment(s) in full and on time, as applicable:
i. If you enter into an annual subscription, the first payment under the subscription; or
ii. If you enter into a month-to-month subscription, 3 non-discounted payments under the subscription.Each customer who meets all of these requirements is referred to as an “Eligible Customer” below. - Promotion Details. To each Eligible Customer, within the first 30 days after meeting all of the requirements above, NinjaOne will send to the primary contact on the subscription a Visa gift card in an amount equal to the following, as applicable:a. If you enter into an annual subscription, 9.5% of 50% of the full annual payment amount; or
b. If you enter into a month-to-month subscription, 9.5% of 6× the full monthly payment amount. - Miscellaneous. Except as expressly modified herein, all terms and conditions of the applicable Order Form and EULA remain in effect and apply to the Eligible Customer’s subscription and use of any NinjaOne software, including, but not limited to, those concerning renewal or termination of the subscription and/or EULA, and fees for licenses to NinjaOne software and products.All disputes, claims, and actions related to this Promotion and these terms and conditions shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law rules of any jurisdiction, and shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.The Promotion may not be combined with any other promotion or discount.
